What is an LLP?

Partnership flexibility with a separate legal entity framework

An LLP is a legal entity separate from its partners. It can contract, own assets, open bank accounts and continue despite changes in partners.

Limited liability is not absolute. A partner may still be responsible for personal wrongdoing, unlawful conduct or personal guarantees.

Common LLP registration questions

How many partners does an LLP need?

At least two partners are required. Partners may be individuals or eligible entities, subject to document checks.

Does an LLP have shareholders or directors?

No. An LLP has partners, contribution and profit sharing arrangements. It does not issue company shares.

Is a Compliance Officer the same as a company secretary?

No. An LLP does not appoint a company secretary, but it must have a qualified Compliance Officer.

Must an LLP Agreement be submitted to SSM?

It is usually not submitted with standard registration, but a written agreement is strongly recommended to define partner rights and obligations.

Can an LLP open a bank account?

Yes, but banks may request the LLP Agreement, business address, business model, website, invoices or transaction proof.

Can an LLP be converted directly to Sdn. Bhd.?

Do not assume direct conversion. A Sdn. Bhd. may need to be incorporated separately with proper transfer planning.
