What is Annual Return in Malaysia?

Annual Return is not a tax return and not the same as audited financial statements. It is an annual company filing that updates SSM on the company's registered details, business activity, officers, shareholders and shareholding position.

What is Annual Return?

Annual Return is a yearly statutory filing for a company. It is designed to update the Registrar and stakeholders on the company's key particulars as at its anniversary date. By lodging Annual Return, stakeholders can see that the company still exists for the relevant year and obtain a general understanding of the company.

When must Annual Return be filed?

For a local company, Annual Return is lodged within 30 days from the anniversary of its incorporation date. For a foreign company, SSM's annual submission page refers to 30 days from its registered date.

What should be updated before Annual Return filing?

SSM notes that changes in company particulars before the anniversary date should be registered and approved in MyCoID 2016 first. This helps ensure the approved particulars are reflected when Annual Return is prepared.

Who can lodge Annual Return and how does MBRS work?

SSM states that only the appointed licensed company secretary or company's agent can lodge annual documents to the Registrar in MBRS. The Maker may assist with preparation, while the Lodger reviews, digitally signs, pays and lodges the XBRL file through the MBRS Portal.

  • Confusing Annual Return with tax return.Annual Return is filed to SSM, while company tax return is filed to LHDN.

Annual Return FAQ

Is Annual Return the same as company tax filing?

No. Annual Return is a company particulars update lodged with SSM. Company tax filing is submitted to LHDN. They are different filings.

Does a dormant company still need to consider Annual Return?

Usually yes. Having no business activity or no profit does not automatically remove the company's statutory filing duties.

Can business owners lodge Annual Return themselves?

In practice, Annual Return is usually lodged through MBRS by the appointed licensed company secretary or company agent. The business owner should provide and confirm the latest company information.

Can Annual Return be used to directly update company changes?

Do not treat it that way. Director, secretary, address and share changes should usually be updated through the proper process first, so Annual Return reflects registered or approved particulars.
